Breach of Contract Notices and the Right To Cure
Breach of Contract Notices and the Right To Cure
Many disputes become more complicated because an important notice, delivery or cure obligation in the agreement was overlooked.
Read the exact notice provision
Commercial agreements may specify addresses, permissible delivery methods, what information must be provided and how notice is deemed received. An informal email may not satisfy every contract.
Identify cure opportunities
Certain agreements require a party to describe a breach and allow a period to correct it before termination or litigation. Whether the opportunity applies depends on the contract, facts and governing law.
Document the chronology
Preserve communications, invoices, evidence of performance and the dates notice was sent and received. A well-structured legal notice distinguishes contractual breaches from ordinary disagreements and requests a remedy supported by the agreement.
Additional considerations
A notice-and-cure provision may prescribe what counts as default, the address and method of delivery, and how the cure period is calculated. The requirements may differ for payment defaults, ongoing conduct and breaches that cannot readily be cured.
Before claiming that an agreement was terminated, document the dates of delivery and receipt, the precise provisions relied upon and the response given. The legal significance of an imperfect notice depends on the contract and governing law.
